Terms of Service

The section structure the retailer, courier, and franchise agreement will follow. The wording underneath it is supplied by legal counsel before launch.

Agreement

These Terms of Service govern access to and use of the Scorto platform, operated by operating entity name — to be supplied before publication, a company registered at registered address — to be supplied before publication under company number company registration number — to be supplied before publication ("Scorto", "we", "us"). By registering an account, dispatching an order, accepting a delivery, or otherwise using the platform, you agree to these terms.

Scorto operates a franchise model. Your day-to-day relationship — onboarding, local support, and first-line dispute handling — may be with the franchise operator responsible for your territory. These terms apply to your use of the platform itself regardless of which operator serves your region.

We may amend these terms. Where a change materially affects your rights or obligations we will give notice through the platform or by email before it takes effect. Continuing to use the platform after that date constitutes acceptance. If you do not accept a change, you may terminate under the Termination section.

Eligibility and accounts

The platform is for business use. Retailers must be a registered business and must supply valid business details — a licence, tax identifier, or registration number — together with identity documents for the business owner, and must link a Stripe account before assigning deliveries. Couriers must be legally entitled to work and to drive in their territory, and must supply a valid government-issued identity document and, where a vehicle is used, its registration and insurance details.

Accounts are activated only after verification. We may refuse, suspend, or revoke verification at our discretion where documents cannot be validated, where information is inconsistent, or where we reasonably suspect fraud. Verification is an anti-fraud measure and is not a warranty by us as to any user's competence, conduct, or creditworthiness.

You are responsible for the security of your credentials and for all activity under your account. Administrator accounts require multi-factor authentication. You must notify us promptly if you believe your account has been compromised. Creating multiple accounts to evade penalties, limits, or suspension is a material breach.

End customers are not users of the platform. They order through the retailer's own channel and receive deliveries without holding a Scorto account. Nothing in these terms creates a contract between Scorto and an end customer.

The service

Scorto provides software that lets a retailer dispatch a delivery, assign it either to their own courier or to the freelance courier network, track it in real time, receive photographic proof of delivery, and settle the associated payments. We provide the platform. We do not carry goods, employ freelance couriers, or take title to anything delivered through the system.

Freelance couriers are independent contractors. Company-employed couriers are employed by the retailer that assigns them, not by us. Nothing in these terms creates an employment, agency, partnership, or joint venture relationship between Scorto and any courier or retailer.

The platform depends on third-party services, including Stripe for payment processing and Google Maps for routing and location. Interruption to those services may interrupt corresponding platform functions. We target high availability but do not guarantee that the platform will be uninterrupted or error-free.

Orders originating on third-party ordering platforms are entered into Scorto by the retailer. We do not integrate with those platforms and are not responsible for the accuracy of information a retailer transcribes from them.

Retailer obligations

You must keep your business profile accurate and your verification documents current. You are responsible for the accuracy of every order you dispatch, including the delivery address, contact number, order value, and any handling requirements.

You must maintain a positive wallet balance to draw on the freelance courier network. Where your balance is insufficient, freelance assignment may be withheld until it is topped up. Your own couriers remain available to you regardless of balance, subject to an active subscription.

You must not dispatch anything you are not lawfully entitled to have carried. This includes, without limitation, controlled drugs, weapons, live animals, hazardous or dangerous goods, stolen property, counterfeit goods, and anything whose carriage requires a licence you do not hold. Age-restricted goods may only be dispatched where you have made lawful arrangements for age verification at the point of delivery and have told the courier so.

You are responsible for your relationship with your customer, including order accuracy, customer communications, and your own consumer-law obligations. You must have a lawful basis for passing customer contact and address details to us for the purpose of completing a delivery, and must tell your customers that a courier will receive those details.

Courier obligations

You must complete identity verification before accepting work, keep your documents current, and hold any licence, insurance, and roadworthiness certification your vehicle and territory require. You must be legally entitled to work in the territory in which you accept deliveries.

Once you accept a delivery you are responsible for collecting it, carrying it with reasonable care, and delivering it to the stated address. You must confirm pickup in the app, follow the assigned route unless circumstances reasonably require otherwise, and submit proof of delivery as a photograph taken at the point of handover.

Customer contact details are released to you on acceptance and only for the purpose of completing that delivery. You must not retain, copy, share, or use them for any other purpose, and must not contact the customer after the delivery is complete. Misuse of customer data is a material breach and may be a criminal offence.

You must not subcontract a delivery, carry a delivery on behalf of a suspended account, or operate more than one courier account. You may hold multiple concurrent orders only where the platform permits it and only from the same retailer.

Where a delivery is cash on delivery, you settle the order value with the retailer before collection and collect the corresponding amount from the customer. Cash collected is held on the retailer's behalf until settled.

Fees and payment

Retailers pay a recurring subscription for platform access, billed monthly or annually through Stripe. Deliveries fulfilled by your own couriers carry no per-delivery fee. Deliveries fulfilled through the freelance network carry a per-delivery fee, deducted from your wallet balance when the delivery is assigned.

Freelance couriers pay a one-time sign-up fee covering verification and onboarding, and a commission per completed delivery, deducted from earnings before payout. Company-employed couriers are paid by their employing retailer and pay no commission on deliveries assigned to them by that retailer; a company courier who accepts work outside that assignment is charged the standard per-delivery fee.

Courier earnings are paid out weekly through Stripe, subject to any deductions for penalties or unsettled balances. Payout timing depends on Stripe and on your banking provider.

Current rates are set per territory and are stated at the point of subscription or sign-up. We may change fees on reasonable notice; changes take effect at your next billing period. All fees are exclusive of VAT or equivalent sales tax unless stated otherwise, and you are responsible for your own tax obligations, including where you are a self-employed courier.

Subscription fees are non-refundable for a period already served except where required by law. Payment card data is handled entirely by Stripe; we do not receive or store full card numbers.

Cancellation and penalties

A courier who cancels a delivery before collection incurs no penalty. The retailer is notified immediately and the order is returned to the pool for reassignment.

A courier who cancels after collection is responsible for the full order value. The amount is deducted from the courier's balance, and the courier cannot accept further deliveries until it is cleared. This rule exists because after collection the goods are in the courier's possession and the retailer has already borne the cost of producing them.

Repeated cancellation, repeated lateness, or repeated deviation from an assigned route without justification may result in reduced access, suspension, or removal from the platform. Route deviation is monitored automatically and flagged for review; an alert is not by itself a finding of fault, and a courier may explain the circumstances before a penalty is applied.

Retailers may cancel a subscription at any time, effective at the end of the current billing period. Cancellation does not refund a period already served and does not extinguish an unsettled wallet or penalty balance.

Disputes and refunds

A retailer may raise a dispute where a delivery fails, arrives late, or is not delivered as instructed. Disputes must be raised promptly and, in any event, within the window stated in the platform at the time of the delivery.

We assess a dispute against the record the platform holds: the delivery log, the location history, the proof-of-delivery photograph, and any communication log between courier and customer. A human reviews the claim. Possible outcomes are a full refund, a partial refund, or rejection of the claim.

A delivery completed on time and without a dispute receives an automatic five-star rating. This reflects the absence of a reported problem rather than an assessment of service quality, and a retailer may override it by raising a dispute.

Our dispute process governs claims between platform users. It does not affect an end customer's rights against the retailer they bought from, and it does not remove any statutory right you may have to bring a claim.

Liability

Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for any liability that cannot lawfully be excluded.

Subject to that, Scorto provides the platform "as is". We do not warrant that the platform will be uninterrupted, that location or ETA data will be accurate, or that any courier or retailer will perform their obligations. Location and routing data are derived from third-party services and are estimates.

We are not liable for loss of or damage to goods in transit. Goods are in the courier's possession from collection to delivery, and the allocation of that risk is between the retailer and the courier, supported by the penalty regime described above.

Subject to the first paragraph of this section, our total aggregate liability to you arising out of or in connection with the platform in any twelve-month period is limited to the total fees you paid to us in that period. We are not liable for loss of profit, loss of business, loss of goodwill, or indirect or consequential loss.

You indemnify us against claims arising from your breach of these terms, including claims arising from goods you dispatched unlawfully or from your misuse of customer data.

Termination

You may close your account at any time. Retailers should settle any outstanding wallet balance first; couriers should allow the final payout cycle to complete.

We may suspend or terminate an account immediately where there is a material breach of these terms, where verification cannot be maintained, where we reasonably suspect fraud or misuse of customer data, or where required by law. Where circumstances allow, we will explain the reason and give an opportunity to respond.

Termination does not extinguish accrued rights and obligations, including unpaid fees, unsettled penalties, and cash collected on a retailer's behalf. Provisions that by their nature should survive termination — liability, indemnity, governing law, and any data-retention obligation — do so.

Governing law

These terms and any dispute arising out of them are governed by the law of governing jurisdiction — to be supplied before publication, and the courts of governing jurisdiction — to be supplied before publication have exclusive jurisdiction, save that we may bring proceedings to protect our intellectual property in any competent court.

If any provision is found unenforceable, the remainder continues in force. A failure to enforce a provision is not a waiver of it.
